Sites and Services

We do not guarantee that access to or use of Chweya.com or any Services will be uninterrupted or error-free. Chweya Media Group shall not be liable for any features that may be inaccessible or for any unavailability of the Site and Services. The Site and its features may be expanded, restricted, or modified at any time by Chweya Media Group to address user needs or for technical reasons, without prior notice or explanation. We may also, at our sole discretion, temporarily or permanently discontinue any or all aspects of the Site or Services without notice.

Users may need to upgrade or update their hardware or software to access certain content or features of the Site or its Services. Chweya Media Group assumes no responsibility for any failure to access the Site or Services, whether due to the user’s system, internet connectivity, or any other cause.

Minors

Any testimonials, opinions, advice, product or service offers, or other information or content made available on or through this Site by third parties (“Third Party Content”) are solely those of their respective providers and not of Chweya which does not guarantee the accuracy, completeness, reliability or usefulness of Third Party Content. It is the responsibility of the User to evaluate Third Party Content and Chweya shall not be liable for any damage or loss caused by User’s reliance on or other use of Third Party Content.

Content Posted by Users

When you post or share any content or materials through our services, including but not limited to, questions, quizzes, homework, or projects (“User Content”), you agree to the following terms:

(a) You grant Chweya a fully transferable, sub-licensable, royalty-free license to display, perform, reproduce, modify, transfer, distribute, and create derivative works from your User Content. This includes associating your public profile information (if any) with such User Content across any media formats and channels now known or developed in the future. You also waive any moral rights related to such use of your User Content in favor of Chweya.

(b) You grant Chweya a perpetual, worldwide, royalty-free, fully paid-up, non-exclusive license to edit and display your materials on our site, and allow access by users, according to the terms outlined in these Terms of Use (TOU).

(c) You agree to indemnify and hold harmless Chweya and its users from any claims or demands made by third parties arising out of your User Content.

(d) You represent that you own or have the rights to post the User Content, that it is accurate, does not violate any laws, and does not infringe on the intellectual property, personal, or privacy rights of others. Chweya reserves the right to use your name in connection with your posted User Content and may remove or modify any content that we believe violates these TOU.

When interacting with other users and posting content, please be respectful and use common sense. Remember, anything you post online may be perpetually available and is not confidential. Only share what you are comfortable with being made public.

Chweya Widgets

Chweya may, at its sole discretion, provide certain widgets (the “Widgets”) subject to these Terms of Use (TOU). By accessing and using any Widget (including copying any Widget HTML code), you agree to the following terms:

Display: You may only display the Widget(s) on a website that you own and operate.
Modification: You may not modify any Widget in any way, including but not limited to, changing any code, obscuring or disabling any element, or adding a “no follow” attribute or similar mechanism to links to Chweya.
Representations: You agree not to make any representations or warranties (express or implied) about Chweya or our site.
Affiliation: You may not suggest or imply any affiliation with, sponsorship by, or endorsement by Chweya.
Content Restrictions: You may not place the Widget on any site that contains unlawful, harmful, obscene, harassing, or objectionable content, or on any site that infringes on Chweya’s intellectual property or other rights, or violates any applicable law.
Intellectual Property: Chweya grants you a non-transferable, non-exclusive, revocable right to download and display the Widget solely in accordance with these TOU and only in connection with the Widget. This right does not extend to any Chweya code, content, logos, or trademarks beyond the scope of this permission.
Termination and Changes: Chweya reserves the right to terminate or modify your permission to display the Widget at any time. The Widgets may be updated or changed at Chweya’s discretion, and we may cease to provide content from the Widget at any time.

Account Creation

Some services offered by Chweya require you to create an account. By creating an account, you confirm that you have the authority to do so and that all information you provide is true, accurate, current, and complete. You are solely responsible for maintaining the accuracy, security, and confidentiality of your login information (e.g., user ID and password). You are also responsible for any activity that occurs under your account. If you suspect that your login information has been compromised, you agree to notify us immediately. Chweya is not liable for any losses or damages resulting from the unauthorized use of your login information.

Social Sign-In

If you choose to log in or sign in using social networking functionality, such as Facebook, you agree to adhere to the terms and conditions of the applicable social network.

Advisor Insights – for Users

Chweya may offer certain services, including but not limited to, advisory services that allow users to engage with a network of third-party experts and advisors (the “Advisor Network”). This may include submitting questions to financial planning and personal finance professionals. Your use of and reliance on these services is at your own risk, and you are responsible for complying with these Terms of Use (TOU) at all times.

Submissions you make (including any public profile information associated with your submission) and any responses from our Advisor Network constitute Third Party Content under this TOU and may be displayed in publicly viewable forums. Submission of a question does not guarantee a response.

Chweya allows you to follow individual advisors by clicking the “follow” button on an advisor’s profile page and providing your email address. If you choose to follow any advisor, you agree to receive weekly recaps of the advisor’s content via email newsletter. You can unsubscribe from receiving advisor newsletters at any time by clicking the opt-out link in any email communication or by accessing the “Manage Subscriptions” page on our site.

By submitting questions or engaging with advisors, you understand that no advisor-client, planner-client, or any other direct privileged or professional relationship is formed between you and any advisor. Please note that the laws, regulations, and standards applicable to your question may vary depending on your location.

Additionally, any content you submit (including questions, answers, and other materials) is not considered private or confidential. It is not protected by attorney-client privilege or any other privilege and may be accessed, collected, and used by Chweya and others. Search engines may index your questions, answers, and other content, which means this information could appear in search engine results (e.g., Google or other search engines), with links to your submissions on our site.

Chweya does not provide tax, accounting, legal, investment, or financial services. The information available through Chweya’s advisory services is provided by third parties and is for informational purposes only, on an “as is” basis, and at the user’s own risk. This information is not intended to be, and should not be construed as, advice or used for investment, financial planning, legal, accounting, or tax purposes.

Chweya makes no guarantees regarding the accuracy, quality, or completeness of the information provided and shall not be responsible or liable for any errors, omissions, or inaccuracies in the information, or any user’s reliance on it. Users are solely responsible for verifying the information’s suitability for their personal use and are encouraged to seek the advice of a qualified professional regarding any specific financial, legal, accounting, or tax questions they may have.

While Chweya may edit user-submitted questions for grammar, punctuation, and other formatting issues, we are not involved in the exchanges between advisors and users and do not endorse any specific financial, legal, accounting, or tax professionals. Chweya is not affiliated with or endorsed by any bar association, accounting organization, tax authority, or financial regulatory body, including but not limited to, the Financial Industry Regulatory Authority (FINRA) in the U.S., the Investment Industry Regulatory Organization of Canada (IIROC), or any other financial regulatory authority.

POSTS ARE NOT CONFIDENTIAL. The Advisor Insights is a forum-based service and any information and materials you submit in connection with your profile and/or any questions you pose to any one of the advisors via the AI Service may be displayed in publicly viewable forums.

Advisor Insights – for Advisors

Participation in Chweya’s advisory services involves a vetting and approval process. Acceptance of these services is at Chweya’s sole discretion and may be based on factors such as licenses, registrations, designations, assets under management, regulatory disclosures, and other relevant considerations as determined by Chweya.

By applying to participate, you represent and warrant that all information provided to Chweya during and after the application process is accurate and complete.

If accepted into the advisory services, you agree to promptly notify Chweya if any of the information you have provided becomes incorrect or obsolete. Participation requires, at a minimum, that you maintain your status as a registered financial advisor. You are solely responsible for ensuring ongoing compliance with all registration requirements and obligations imposed by applicable regulators and/or your employer.

Should you lose your status as a registered financial advisor or experience any other significant changes to your profile or information (including any legal or regulatory actions, proceedings, or sanctions), you agree to immediately cease participating in the advisory services and promptly notify Chweya to have your profile suspended or removed.

By applying for and/or participating in Chweya’s advisory services, you acknowledge that the purpose of these services is to provide general information and education to Chweya’s users. While the answers you provide may include an analysis of various options and considerations based on the facts presented by users, they are not intended to include specific recommendations for particular actions.

Specifically, for financial advisors, your answers must not:

Recommend or promote specific securities, funds, or other investments.
Advertise or promote your own qualifications, experience, or past performance.
Directly solicit Chweya users as clients.

Your participation in Chweya’s advisory services is solely for providing answers to questions posed through these services. Chweya does not answer questions itself, nor does it offer tax, investment, financial, accounting, or legal services. Chweya is not obligated to review, edit, or verify the usefulness, reliability, completeness, or accuracy of any answers you provide. Chweya expressly disclaims all liability in connection with your answers or other submissions through the advisory services, and you remain solely liable for such content.

Chweya reserves the right to remove any answer or content from the advisory services or Chweya’s website, at its sole discretion and with or without prior notice. By publishing an answer, you affirm its accuracy, completeness, and that you have all necessary rights to publish it. You grant Chweya a worldwide, non-exclusive, irrevocable, royalty-free license (with rights to sublicense, including through multiple tiers) to display, perform, reproduce, modify (as to format or appearance, but not substance), transfer, and distribute such content (with or without your associated public profile information) in any media formats and through any channels, whether now known or developed in the future. Additionally, you waive all moral rights in such content in favor of Chweya. You agree not to post the identical answer on any website other than your personal or professional website and social media platforms.

In addition to answering questions, you may contribute other content for inclusion on our website, such as articles. All such submissions are at Chweya’s discretion and are subject to these terms. By submitting any additional content, you grant Chweya the same rights and license as described above and waive all moral rights in favor of Chweya. You agree not to post the identical content on any competing website.

You agree to indemnify and hold Chweya harmless from any claims related to your participation in the advisory services, including claims that your answers or content violate any laws or intellectual property rights.

Your participation is voluntary, and you are not entitled to compensation or benefits from Chweya. You are an independent contractor, and nothing in these terms creates a partnership, joint venture, franchise, agency, or employer-employee relationship between you and Chweya. You are not authorized to make commitments or assume obligations on behalf of Chweya.

If you are reclassified as an employee of Chweya or any affiliate by any government agency as a result of any proceedings, you agree that you will not be entitled to compensation or employee benefits under any plans maintained by Chweya, either prospectively or retrospectively.

Webinars

If Chweya offers general education and/or continuing education webinars (each a “Webinar” and collectively “Webinars”), the following terms apply in addition to the other terms of this TOU:

Communications: By participating in Webinars, you agree to receive communications from Chweya and/or Webinar providers as outlined in the “Communications” section of this TOU.
Changes and Cancellations: Chweya reserves the right to change, modify, suspend, or cancel access to any Webinars and/or related services, in whole or in part, at any time and without prior notice.
Continuing Education: Chweya may offer Webinars that are approved for continuing education credits by various organizations, such as the Certified Financial Planner Board of Standards Inc. (“CFP Board”) and/or the Investments & Wealth Institute® (“IWI”). Information about which Webinars are approved for credit will be provided on the landing page for each Webinar. You understand and agree that Chweya may need to share information about your participation and completion of certified programs with the CFP Board and/or IWI for you to receive continuing education credits.
General Education: Chweya may also offer Webinars for general educational purposes that are not approved for credit by any professional, state/provincial/territorial board, or educational institution.
For Informational Purposes Only: All Webinars and associated content or materials are provided for informational purposes only. Information may not be applicable to all states, provinces, territories, or jurisdictions. Chweya cannot guarantee that any information provided will be accurate, complete, or current at all times and makes no representations or warranties regarding the quality of the Webinar content, related materials, or any instructors.
Ownership and Usage Restrictions: All content in Webinars is owned by or licensed to Chweya and/or its content providers. You may not reproduce, upload, transmit, distribute, publicly display, sell, publish, or otherwise use Webinar content or materials for any commercial purpose without Chweya’s express written consent.

Chweya Academy

Chweya Education Services offers a range of online financial education programs, including courses, workshops, and classes, available for a fee through our Chweya Academy. These offerings are part of the comprehensive educational services provided by Chweya. In addition to the educational content, Chweya may facilitate communication between users participating in our programs.

This Terms of Use (TOU), including the section related to Chweya Academy, governs your access to, use of, and purchase of any courses. To enroll in a course, you need to log in to your Chweya account. We utilize third-party services for platform management and payment processing, which may involve accessing your information for course-related services.

Please refer to the “Communications” section of this TOU for information on how we may contact you regarding Chweya Academy and other related services.

Informational Purposes Only. The courses provided by Chweya Academy are intended solely for informational purposes. Chweya, along with any individuals providing instruction in these courses, does not offer legal, accounting, investment, or financial advice. You are responsible for verifying the accuracy and suitability of the information for your specific needs with your own tax, financial, or legal advisor.

The availability of a course or the presence of any instructor does not constitute an endorsement by Chweya of the course, its content, or the instructor. Chweya does not employ instructors directly and is not liable for any interactions between you and instructors or other users of the services. We make no representations or warranties regarding the quality of any course or instructor.

No Academic Credit. Chweya is not an accredited educational institution. Your participation in, or completion of, any Course does not confer any academic credit. Nothing in this TOU or otherwise through the Services or on our Site, enrolls you in any educational institution or in any course offered by any such institution.

Payment. Each course, bundle of courses, or subscription package (collectively referred to as “Online Course Offering”) is priced as indicated on the relevant landing page. All fees are quoted in U.S. dollars. To purchase an Online Course Offering, you must provide one or more valid Payment Methods. By using a Payment Method, you affirm that you are authorized to use it for this transaction.

You agree to pay for all Chweya products and services you purchase and authorize us to charge your selected payment method through our third-party payment processor. In the event of a payment failure, we may employ collection methods to recover any owed fees and reserve the right to suspend or terminate your access to our services.

Certain Payment Methods may incur additional fees, such as foreign transaction fees, or other processing charges imposed by the issuer. Local tax charges may also vary based on the Payment Method used. Please consult your payment provider for more details. “Payment Method” refers to a current, valid, and accepted method of payment, which may be updated periodically and may include payments through third-party accounts.

Payment Processing. We utilize secure third-party payment processors for handling transactions related to our Online Course Offerings. These processors accept payment methods as specified on the payment page. Information you provide to our payment processors is not stored or controlled by us and is governed by the privacy policies and terms and conditions of the respective payment processors. To the fullest extent permitted by applicable law, Chweya disclaims any liability for issues arising with third-party payment processors.

Refunds. For individually purchased courses, Chweya will issue a full refund under limited conditions: if the user has viewed less than 50% of the course and requests a refund within 30 days of the purchase date. For courses purchased as part of a bundle, a full refund will be granted if the user has viewed less than 50% of the bundle’s content and requests a refund within 30 days of the purchase date. Subscription purchases will be refunded according to the terms specified in the Subscription section below.

To request a refund, please contact us directly at [email protected]. Contacting Chweya through any other contact page, email, or number for a refund request will not be deemed notice to Chweya of such request.

Taxes. If you choose to access or use our services that involve a fee, you agree to pay that fee along with any applicable taxes, including sales tax or VAT, as required by law. Chweya may collect taxes (e.g., sales tax or VAT) on transactions where we reasonably believe tax collection is necessary.

If VAT collection is deemed necessary for any course, it will be calculated and added based on the billing information you provide. You agree to indemnify and hold Chweya harmless from any claims by tax authorities related to underpayment of VAT, including any associated penalties or interest.

Chweya is not able to provide tax advice; therefore, we recommend consulting your tax advisor for guidance.

Compliance with Laws. You agree to adhere to all applicable laws when purchasing and/or viewing any course offered by Chweya. Access to our courses may be restricted in certain territories. By purchasing or viewing courses from outside Kenya, you confirm that you will not breach any data export laws.

Course Ownership. Chweya and its licensors retain all rights, title, and interest in the courses and related materials. We and/or our third-party licensors hold all necessary rights to the content within any course, including lectures, video lessons, quizzes, presentation materials, assignments, images, text, documents, audio and video clips, HTML, and more. This includes all copyrights, trademarks, or other proprietary rights as governed by applicable law. Nothing in this TOU or within any course grants you ownership or any proprietary rights, except as explicitly outlined herein

Any Chweya logos and/or trademarks that appear in any Course are our property and may not be used without our express written consent. All other trademarks, service marks and logos used in connection with any Course, with or without attribution, are the trademarks, services, or logos of their respective owners and may not be used without their express written consent.

Your Use of the Courses. Subject to your adherence to this TOU and any additional guidelines or policies provided through our services, Chweya grants you a limited, non-transferable, non-sublicensable, non-exclusive, and revocable license to use the courses you purchase solely for non-commercial, personal purposes. Purchasing a course grants you the right to view the course but does not transfer ownership of the software or content included in the course.

Chweya reserves the right to terminate your access to our site at any time, with or without notice, for any reason or no reason at all. Such termination will not affect your right to access and view any courses you have already purchased unless we determine that you have violated this TOU. You may not transfer your account to another person or use someone else’s account.

Except as expressly permitted in this TOU, you are prohibited from copying, selling, re-selling, displaying, reproducing, publishing, modifying, creating derivative works from, transferring, distributing, or commercially exploiting the courses or any related materials. Chweya reserves the right to take legal action against you for any unauthorized use of the courses, or related materials, or any violations of this TOU, whether through legal or equitable remedies.

Certificate of Completion. Upon satisfactory completion of a course, as determined solely by Chweya, you may receive a certificate of accomplishment. This certificate merely signifies that you have completed the course and is not affiliated with any academic institution, such as a college or university, nor does it provide academic credit or certification. Chweya and its instructors have no obligation to assist you in obtaining academic credit or certification from any academic institution.

Indemnification. You agree to indemnify and hold Chweya harmless from any claims related to your use of our services, including but not limited to, claims arising from your violation of any law or regulation or infringement of intellectual property or proprietary rights of Chweya or any third party.

Modification and/or Termination of Courses. Chweya reserves the right to modify, suspend, or discontinue any course or our services, either temporarily or permanently, at any time. We are not liable to you or any third party for any such changes, suspensions, or terminations. This TOU does not obligate Chweya to maintain or support any online course services during or beyond the term of this TOU.

Subscription Services

Subscription Services: Chweya may offer certain paid subscription services in certain regions. If you enroll in any Chweya paid subscription service, your subscription will continue month-to-month until terminated. You agree that your account will be subject to this automatic renewal feature. If you do not wish your account to renew automatically or want to change or terminate your subscription, please email [email protected]. To use the Chweya subscription service you must have internet access and provide us with one or more Payment Methods.

Billing: Unless you cancel your subscription(s) before your monthly billing date, you authorize us to charge your next month’s subscription fee to your Payment Method. You also authorize Chweya to charge you for any sales or similar taxes that may be imposed on your subscription payments. Such fees will be charged on the calendar day corresponding to the commencement of your subscription. In some cases, your payment date may change, for example, if your Payment Method has not successfully settled or if your paid subscription began on a day not contained in a given month. In order to see your next payment date, please contact us at [email protected].

Payment Methods and Subscriptions. To enroll in a paid subscription service offered by Chweya, you must provide one or more Payment Methods. We may update your Payment Method using information provided by our payment processors. By doing so, you authorize us to continue charging the applicable Payment Method(s). You agree to promptly update your Payment Methods to keep them current, complete, and accurate, including any changes to your billing address, card number, or expiration date. Additionally, you must notify Chweya immediately if your Payment Method is canceled, lost, or stolen, or if you become aware of any potential security breaches, such as unauthorized disclosure or use of your account credentials.

You can update your Payment Method by visiting your Chweya Dashboard at Chweya Academy Dashboard and submitting the new information to our payment processor. You authorize us to charge any Payment Method associated with your account if your primary Payment Method is declined or unavailable. You remain responsible for any unpaid amounts.

If a payment is not successfully processed due to expiration, insufficient funds, or other reasons, and you do not cancel your account, we may suspend your access to the service until a valid Payment Method is provided. If you initiate a chargeback or reverse a payment, Chweya may terminate your account immediately at our discretion. Should we successfully dispute the chargeback and recover the funds, you are not entitled to a refund or reinstatement of your account or subscription.

Refunds and Cancellations Policy:

If you decide to cancel your subscription within the first 30 days, we will issue a full refund of your initial payment. After these 30 days, you can cancel your subscription at any time, and you will retain access to the service until the end of your current billing cycle.

Refunds and credits are not available for partial-month periods or for any content that you have not accessed. However, if you cancel within 3 business days of starting a paid subscription, you are eligible for a full refund. Please note, that we may deduct the prorated value for any portion of the service used during these 3 business days.

To cancel your subscription, please email us at [email protected]. Your account will be closed at the end of your current billing period.

Even after cancellation, you may still receive promotional communications about Chweya’s products and services unless you opt-out by following the unsubscribe instructions in those communications.

Price and Subscription Plan Changes:

We reserve the right to modify our subscription plans and pricing at any time. Any changes to the price will be communicated to you, and such changes will not take effect until at least 30 days after you are notified.

We may offer a variety of subscription plans, including special promotional options. Each plan may have unique terms and conditions, which will be detailed to you at the time of sign-up or through other communications.

Virtual Cash and Virtual Securities

When you register for the Site’s Stock Market Game, you may earn virtual cash and securities (“Virtual Assets”) for use within the Site environment. These Virtual Assets are provided under a limited license and have no real monetary value.

You are not permitted to sell, transfer, or trade Virtual Assets outside the Site, except in accordance with the Stock Market Game rules, which we may modify at our discretion. You do not have ownership rights to Virtual Assets. We reserve the right to terminate your license to use Virtual Assets, withdraw or discontinue any Virtual Asset, or restrict access to any specific Virtual Asset at any time, with or without prior notice.

Incentives, Rewards, Discounts, and Other Promotional Offers

Incentives, Offers, and Promotions:

Incentives, rewards, or similar programs (such as discount codes or promotional offers) are issued at Chweya’s discretion and cannot be transferred, bartered, or sold. They cannot be used for transactions involving payment information (e.g., credit card, Skrill, M-Pesa, Bitcoin, or PayPal). We may also modify the terms applicable to incentives, offers, promotions, or similar programs at our discretion, with or without prior notice.

Discounts and Promotions:

Chweya may, at its discretion, offer discounts on Chweya Academy courses. These discounts apply only to new purchases and cannot be used for previous transactions or combined with other offers or promotions. Discounts apply solely to the course purchase price and do not cover taxes or additional fees.

Discounts from Chweya have no cash value and are non-transferable. No cash or credit refunds will be provided. Each discount code is valid for a single use only, and only one discount code may be applied per purchase. Chweya reserves the right to modify or discontinue any discount code or promotional offer at any time without notice. Discounts are void where prohibited by law.

In the event of any violation of these terms or other conditions associated with the discount, Chweya reserves the right to suspend or revoke access to your Chweya Academy account.

Broker Reviews

If Chweya provides reviews of online brokers (each a “Review” and collectively the “Reviews”), the following terms apply in addition to the general terms outlined in these Terms of Use (TOUs). By accessing these Reviews, you agree to receive communications from Chweya as detailed in the “Communications” section of these TOUs. General

This TOU, along with any applicable TOS, constitutes the entire agreement between each User and Chweya, governing the User’s access to and use of the Site and its Services, and supersedes all prior agreements regarding its subject matter. The TOU shall be governed by the laws of Nairobi, Kenya, without giving effect to any principles of conflicts of laws. Each User hereby agrees to the non-exclusive jurisdiction of the courts of Nairobi, Kenya.

The failure by a User or Chweya to exercise any right or to enforce any provision of this TOU shall not constitute a waiver of such right or provision. If any provision of this TOU is found by a court of competent jurisdiction to be invalid or unenforceable, the court shall give effect to the intentions reflected in the provision to the extent possible, and the other provisions of this TOU will remain in full force and effect.
